1. YOUR HEALTH MATTERS
By signing this Waiver, you acknowledge that participation in MATTER’s services, treatments, and activities may expose you to certain physical, environmental, and physiological risks. It is your responsibility to evaluate your own readiness and consult a registered medical practitioner if you are unsure.
You are expected to disclose any condition that may affect your safety, or the safety of others, before using MATTER’s services or facilities.
If the participant is under 18 years of age, a parent or legal guardian must sign this Waiver on their behalf, and all references to ‘you’ or ‘your’ include such parent or guardian.

By signing this Waiver, you confirm, represent, and warrant that the following statements are true and will remain accurate throughout your participation in MATTER’s services, treatments, and activities:
- You are in sufficient physical and mental condition to safely participate in MATTER’s services and understand the nature of the activities involved.
- You have fully disclosed all relevant health conditions, medications, allergies, or implants that could affect your safe participation, and you agree to promptly notify MATTER of any change in your health status before continuing participation.
- You are not pregnant, post-partum, or recovering from any surgery or medical procedure unless you have obtained written medical clearance from a registered medical practitioner.
- You do not have any condition that may impair your ability to tolerate heat, cold, light, pressure, or breathwork, or that could be aggravated by exposure-based or circulatory therapies.
- You are not currently taking any prescription or over-the-counter medication, supplement, or substance that could interact adversely with heat, cold, light, or IV-based therapies, unless cleared by a registered medical practitioner.
- You are not under the influence of alcohol, drugs, or any substance that may impair judgment, coordination, or physiological responses.
- You are of legal age and mental capacity to give informed consent and to assume the risks associated with participation in MATTER’s services.

2. WAIVER AND RELEASE
2.1 General Assumption of Risk
You acknowledge and agree that your use of MATTER’s services, treatments, facilities, and premises is entirely voluntary and at your own risk.
You understand that participation in wellness, recovery, performance, or medical-related services — including but not limited to physical, thermal, circulatory, respiratory, neurological, and IV-based treatments — may involve exertion, exposure to extreme temperature or pressure, biological or neurological responses, emotional stress, and interaction with substances, equipment, or service providers.
These services carry inherent risks, even when used as intended and even if you are in good health. These risks may be heightened if you have a pre-existing medical condition, are taking prescription or over-the-counter medication, are recovering from illness or surgery, or have impaired thermoregulation, mental health conditions, or other physical sensitivities.
You accept and assume that such risks may result in dizziness, dehydration, injury, allergic reaction, loss of consciousness, psychological distress, infection, organ complications, or in rare cases, permanent disability or death. You voluntarily assume full responsibility for all such risks, whether known or unknown, foreseen or unforeseen.
2.2 Specific Modalities and Enhanced Risk
You understand and accept that certain services offered by MATTER carry enhanced or modality-specific risks, which may arise from the nature of the service, your underlying medical condition, or how the service interacts with your body, medications, or implants. These include, but are not limited to:
- Heat-based therapies (e.g. sauna, infrared) – risk of overheating, blood pressure fluctuations, or dehydration;
- Cold therapies (e.g. cryotherapy, cold plunge) – risk of vasoconstriction, dizziness, or breath disruption;
- IV-based therapies – risk of allergic reaction, phlebitis, or circulatory stress;
- Light-based therapies (e.g. red light) – risk of light sensitivity, skin irritation, or overstimulation;
- Breathwork and guided recovery – risk of emotional release, hyperventilation, or psychological discomfort;
- Manual or physical treatments – risk of joint strain, soreness, or aggravation of pre-existing conditions; and
- Hyperbaric Oxygen Therapy (HBOT) – risk of barotrauma, oxygen toxicity, or other pressure-related complications. Risks are elevated in individuals with:
- Absolute contraindications such as untreated pneumothorax, recent thoracic surgery without clearance, severe untreated COPD with CO₂ retention, or use of certain chemotherapeutic agents (e.g. doxorubicin, cisplatin, bleomycin, disulfiram); and
- Relative contraindications including upper respiratory infections, sinusitis, uncontrolled fever, middle ear disease, Eustachian tube dysfunction, history of spontaneous pneumothorax, pregnancy, seizure disorders, claustrophobia, or poorly controlled diabetes (particularly where insulin is used without monitoring).
You acknowledge that these risks may increase significantly if you have a medical condition, are taking medication, are recovering from illness or surgery, or have implants, skin sensitivities, or impaired thermoregulation. You are solely responsible for seeking medical advice from a registered medical practitioner where appropriate and for disclosing any condition that may affect your suitability to participate.
If you are in any doubt about your ability to safely undergo a particular service, you must consult your treating registered medical practitioner before participating.
You confirm that you understand and voluntarily accept the risks associated with any service you choose to engage in.
2.3 Release of Liability
In consideration of being allowed to participate in any MATTER service, treatment, activity, or use of its premises, you unconditionally and irrevocably assume full responsibility for any injury, illness, medical complication, or damage (whether physical, psychological, or economic) that you may sustain or aggravate as a result of your participation, regardless of the cause.
To the fullest extent permitted by law, you waive, release, and forever discharge MATTER, its officers, directors, employees, instructors, contractors, service providers, registered medical practitioner, representatives, and affiliates from any and all claims, liabilities, demands, causes of action, damages, or losses arising out of or related to your participation, including those caused in whole or in part by the negligence or omission of MATTER or any third party. This includes, without limitation, any personal injury, psychological distress, property damage, allergic or medical reaction, treatment outcome, or emergency care rendered in connection with your use of MATTER’s services or facilities.
You represent that you are not aware of any medical or physical condition that would make your participation unsafe or inappropriate, and have not been advised otherwise by a registered medical practitioner. You acknowledge that you have chosen to engage with MATTER’s offerings voluntarily, and that you accept all related risks and legal and financial responsibility for any consequences that may arise.
This release survives the termination of your participation and applies regardless of whether a claim is based on contract, tort (including negligence), equity, or statute.
2.4 Indemnity
In consideration of being permitted to access MATTER’s premises and/or participate in its services, treatments, or activities, you agree to fully indemnify, defend, and hold harmless MATTER, its officers, directors, employees, contractors, service providers, registered medical practitioner, affiliates, successors, and assigns (collectively, “MATTER Parties”) from and against any and all claims, actions, demands, losses, damages, liabilities, judgments, costs, and expenses (including legal fees on a full indemnity basis) which arise out of, relate to, or are in any way connected with:
- Your participation in any MATTER service, treatment, or activity, whether on or off the premises;
- Your use or presence on MATTER’s premises, facilities, or equipment;
- Your failure to disclose any relevant medical condition, medication, allergy, or risk factor;
- Your breach or alleged breach of this Waiver or MATTER’s Terms of Service; or
- Any injury, illness, loss, or damage (including death, disability, or property damage) suffered by you or caused by you to others while engaging in any MATTER service.
This indemnity extends to all claims, whether known or unknown, direct or indirect, foreseeable or unforeseeable, and applies even where such claims arise, in whole or in part, from the negligence, act, or omission of any MATTER Party or third party.
This indemnity is continuing, survives the termination or completion of your participation, and remains enforceable to the maximum extent permitted by law.
2.5 Medical Personnel Disclaimer
You acknowledge and agree that any doctors, nurses, or other healthcare practitioners engaged at MATTER are present to support delivery of certain services, but are not acting as your personal healthcare providers and are not responsible for conducting full medical evaluations, diagnoses, or treatment planning on your behalf.
You acknowledge and agree that any doctors, nurses, or other healthcare practitioners who provide or support treatments at MATTER do so in their own professional capacity and exercise independent clinical judgment. While such practitioners may operate within MATTER’s premises or be engaged by MATTER, their medical assessments, advice, and treatment decisions are made independently and are not directed, supervised, or controlled by MATTER.
MATTER does not guarantee or warrant the quality, accuracy, or outcome of any medical or clinical service performed by any practitioner. You agree that any diagnosis, treatment, or procedure undertaken is based on your personal decision to proceed and is separate from MATTER’s operational responsibilities.
To the fullest extent permitted by law, MATTER disclaims all liability for any act, omission, error, or professional negligence by any practitioner, whether occurring on or off its premises. You are solely responsible for seeking independent medical advice from your own healthcare provider before undergoing any service and for disclosing all relevant health information in advance.
For avoidance of doubt, medical practitioners operating at MATTER do so independently and are solely responsible for their professional conduct and advice, even where MATTER facilitates or hosts the service.
