MATTER is a space for health optimisation — to help you rest, regenerate, and realign. These Terms of Service (“Terms”) set out the rules and expectations for anyone using our space, offerings, or platforms. By using MATTER, you’re joining us in building your version of healthspan — responsibly, safely, and with mutual clarity.

Please read these Terms carefully before using any of our Services.

1. OVERVIEW & ACCEPTANCE

1.1 Scope

These Terms govern your access to and use of all services, facilities, locations, websites, booking systems, and offerings provided by Regenerative Health Asia Pte. Ltd., trading as MATTER (“MATTER”, “we”, “us”, or “our”) (collectively, the “Services”).

These Terms apply to all users — whether you access the Services in person or through our website or digital platforms. They apply in addition to any waiver, privacy policy, release form, or other agreement provided by MATTER.

1.2 Changes to Terms

We may update or amend these Terms at any time, in our sole discretion. Any changes will take effect immediately when posted at www.matterlife.co, unless stated otherwise.

You are responsible for reviewing the most current version. Continued use of the Services after changes are posted means you accept the updated Terms.

1.3 Acceptance

By visiting a MATTER location, booking a session (online or in person), purchasing a membership, or using any of our Services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, do not use or access the Services.

2. SERVICES THAT MATTER

2.1 Services Offered

MATTER provides a range of wellness, recovery, and performance-oriented services designed to support health optimisation and resilience. The specific services available may change from time to time and are listed on our website and other booking platforms.

We may add, remove, modify, or limit any service at our discretion, including by varying pricing, session durations, access times, or availability across locations or membership types.

2.2 Nature of Services

Unless expressly stated otherwise, all services offered by MATTER are non-medical in nature and are not intended to diagnose, treat, cure, or prevent any disease.

You are solely responsible for ensuring that any Service you use is appropriate for your physical condition, medical status, and health needs. You should consult your own doctor before participating in any wellness or recovery service, particularly if you are pregnant, have a medical condition, or are on medication.

MATTER does not provide medical advice, and nothing provided by MATTER (including via consultations, coaching, or staff communications) should be construed as such.

2.3 Not a Medical Clinic

Certain services delivered on-site at MATTER may be medical in nature (in particular, procedures requiring a medical licence). These are performed solely by registered medical practitioners acting in their professional capacity, even if scheduled or facilitated through MATTER.

This applies regardless of whether the practitioner is an employee of MATTER or engaged as a contractor.

You acknowledge and agree that:

  • The medical practitioner is fully and solely responsible for their medical advice, conduct, care, and outcomes;
  • MATTER does not supervise or direct any practitioner’s clinical judgment;
  • MATTER makes no representation or warranty about the safety, appropriateness, or effectiveness of any medical service provided by such practitioners; and
  • MATTER is not liable for any injury, complication, error, side effect, or other consequence resulting from any medical service.

2.4 Indemnity for Medical Services

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless MATTER (and its directors, employees, and agents) from and against any claims, losses, damages, liabilities, and expenses arising out of or in connection with:

  • Any medical service provided by a practitioner at or via MATTER; or
  • Your decision to undergo any procedure or treatment facilitated through MATTER.

This indemnity applies even if the practitioner is introduced, scheduled, or hosted by MATTER.

2.5 Health Conditions and Contraindications

Some Services offered at MATTER — including but not limited to cryotherapy, contrast therapy, red light therapy, and hyperbaric oxygen therapy (HBOT) — carry both absolute and relative contraindications. These therapies may not be appropriate for individuals with certain medical conditions, medication use, or health risks.

You are solely responsible for:

  • Seeking medical clearance from your doctor before using any MATTER Services;
  • Disclosing any relevant health information during your intake or prior to use; and
  • Deciding whether a Service is suitable for your personal health status.

MATTER does not provide medical assessments or determine your eligibility for a particular Service. Use of any Service despite a known or unknown contraindication is entirely at your own risk.

3. PREMISES THAT MATTER

3.1 Respecting the Space

MATTER is a sanctuary for recovery, performance, and restoration. You agree to use our premises respectfully, safely, and with care for others sharing the space. You must not:

  • Interfere with the comfort, wellbeing, or privacy of other guests or staff;
  • Use any part of the premises for illegal, aggressive, or disruptive activity; and/or
  • Misuse or damage equipment, furnishings, or shared areas.

We may refuse access or remove anyone whose behaviour puts the experience — or safety — of others at risk.

3.2 Health & Physical Readiness

You confirm that you are in appropriate physical and mental condition to safely use MATTER’s premises and Services.

Some Services (such as cryotherapy, infrared sauna, cold immersion, red light therapy, hyperbaric oxygen therapy (HBOT) or IV treatments) may not be suitable for everyone and carry inherent health risks. These risks may include circulatory stress, temperature sensitivity, or medical complications — even with normal use.

By entering the premises or participating in any Service, you represent and warrant that:

  • You are not aware of any medical, psychiatric, or physical condition that may be aggravated by MATTER’s Services;
  • You are not under the influence of alcohol, drugs, or any substance that could impair your safety;
  • You have not been advised by a medical professional to avoid strenuous activity, heat exposure, cold exposure, or breath-related practices; and
  • You will immediately stop any activity and notify staff if you experience any discomfort, dizziness, pain, or adverse symptoms.

If you are unsure about your ability to safely participate, you must consult a medical professional before using any MATTER Services or equipment.

3.3 Duty to Disclose

You are responsible for disclosing to MATTER:

  • Any medical condition that may impact your safe use of the premises or Services;
  • Any physical limitations, injuries, allergies, sensitivities, or ongoing treatment; and
  • If you are pregnant, recently post-partum, or managing a chronic health condition.

MATTER may request written medical clearance before allowing you to participate in certain Services. We reserve the right to refuse access to any Service or area of the premises if we believe it could place your health or safety at risk.

3.4 Refusal or Removal

We may refuse access or request immediate departure from the premises if:

  • You have not disclosed a relevant condition;
  • You appear visibly unwell, distressed, or impaired;
  • You engage in behaviour that violates our policies or endangers others; and
  • You do not comply with safety or hygiene instructions from staff.

These decisions are made at our sole discretion to protect the integrity of the space and the people within it.

3.5 Emergencies

In the event of a medical incident or emergency on the premises, MATTER may, but is not obligated to, contact emergency services on your behalf.

You agree that:

  • You are solely responsible for monitoring your physical state and seeking assistance if needed;
  • Any medical attention you require is at your own risk and expense; and
  • MATTER does not guarantee the presence of medically trained personnel on-site at any time.

3.6 Personal Belongings

You are responsible for your own belongings while at MATTER. We are not liable for any theft, loss, or damage to personal items brought onto the premises, including in lockers or changing areas.

We recommend bringing only what matters — and keeping valuables to a minimum.

3.7 Temporary Closures & Maintenance

Parts of the premises may occasionally be unavailable due to:

  • Scheduled cleaning, repairs, or upgrades;
  • Equipment servicing; and/or
  • Special events or staff constraints.

We may restrict access to certain areas or Services without notice. No refund or extension will be provided for temporary closures.

3.8 Surveillance

MATTER uses CCTV and other surveillance tools in public areas for safety, security, and operational purposes. By entering the premises, you consent to being monitored in accordance with applicable law and our Privacy Policy.

3.9 Age Restrictions

If you are under the age of 18, you must obtain written parental or guardian consent before using any Service or entering restricted areas of the premises. MATTER may:

  • Request proof of age or consent at any time;
  • Deny access to certain Services for minors, including cryotherapy, IVs, or contrast therapy; and/or
  • Require a parent or guardian to be present during sessions.

MATTER reserves the right to refuse entry or participation for any minor without confirmed parental consent.

3.10 Behavioural Expectations

To protect the environment we’ve built and the people in it, you agree to:

  • Use quiet voices and maintain respectful noise levels throughout the space;
  • Avoid phone calls or loud media in common areas;
  • Refrain from aggressive, inappropriate, or overly disruptive behaviour; and
  • Wear appropriate clothing and observe personal hygiene at all times.
  • Follow any additional guidelines posted on-site or communicated by staff

We may restrict access, pause your session, or ask you to leave the premises if your behaviour affects the safety, privacy, or wellbeing of others.

3.11 Damage and Repairs

You are responsible for any damage to MATTER’s property, equipment, or premises caused by your actions, negligence, or misuse. You are also responsible for any excessive cleaning, repair, or restoration required as a result of your use of MATTER’s premises. MATTER may charge you for the reasonable costs of such damage or cleanup and may deduct those amounts from your account or stored payment method.

3.12 Media and Recordings

By entering MATTER’s premises or participating in any Services, you acknowledge and consent to MATTER capturing photo, video, and audio recordings of the premises, activities, and participants, which may include your image, likeness, or voice.

All such recordings and related materials are the sole property of MATTER. MATTER may store, edit, reproduce, and use them in any format and medium (now known or later developed) for business, operational, marketing, training, or promotional purposes, without compensation, approval, or further notice to you, unless otherwise agreed in writing.

4. BEING PRESENT MATTERS

4.1 Booking Sessions

Sessions must be booked through the official channels designated by MATTER from time to time. These may include digital platforms, in-person bookings, or other approved methods.

A booking is only considered valid if it complies with MATTER’s current booking procedures, including any payment, intake, or eligibility requirements applicable to the Service.

MATTER reserves the right to determine whether a booking has been properly made and to modify its booking processes at any time.

4.2 Cancellations and Rescheduling

You may cancel or reschedule a session in accordance with MATTER’s cancellation policy, as may be updated from time to time. Unless otherwise stated:

  • Sessions not cancelled or rescheduled within the applicable notice period may be treated as forfeited;
  • MATTER is not obligated to provide any refund, credit, or reschedule for late cancellations; and
  • In some cases, a fee may be charged for late cancellations or missed sessions.

Reschedule requests are subject to availability and must follow the same notice requirements as cancellations, unless otherwise specified.

You are responsible for reviewing and complying with the applicable cancellation terms before booking.

4.3 Being Prompt

Please allow sufficient time to arrive and prepare before your scheduled session. If you arrive late:

  • Your session may be shortened, modified, or cancelled at MATTER’s discretion; and
  • Any session missed or cut short due to late arrival may be treated as forfeited.

Certain Services — such as cryotherapy, and equipment-based treatments — have fixed prep windows and cannot proceed if you arrive late. These may be cancelled without refund if you are not present at the scheduled time.

4.4 No-Shows

If you fail to attend a session without cancelling in accordance with section 4.2, it will be treated as a no-show (the “No-Shows”).

No-Shows may result in:

  • Forfeiture of the session credit or fee; and/or
  • Restriction or suspension of future booking access at MATTER’s discretion

MATTER reserves the right to apply fees for No-Shows where published or notified at the time of booking.

4.5 Session Changes & Unavailability

MATTER may change, cancel, or reschedule any session, practitioner, or Service at its sole discretion. Access may be limited due to operational needs, staff availability, maintenance, public holidays, or other circumstances.

If MATTER cancels a confirmed session, you may be offered a reschedule or credit, unless otherwise specified

4.6 Late Cancellation or No-Show Fees

MATTER reserves the right to apply additional fees or charges for late cancellations or No-Shows, as notified to you at the time of booking or published in our current fee schedule.

These fees are non-refundable and may be charged automatically via your stored payment method.

5. MEMBERSHIPS THAT MATTER

5.1 Types of Memberships

MATTER may offer various access options including recurring memberships, fixed-duration packages, multi-session credits, or trial plans. Each may come with specific terms around access, validity, renewal, cancellation, or usage restrictions (the “Membership”).

The specific terms that apply to your Membership will be provided at the time of sign-up and form part of your agreement with MATTER. MATTER reserves the right to introduce, modify, or withdraw any Membership type at any time.

Unless otherwise determined by MATTER, in the event of any inconsistency between the Membership-specific terms and these Terms, these Terms shall prevail.

5.2 Minimum Commitment Periods

Certain Memberships may include a minimum commitment period or lock-in term. If this applies, it will be disclosed at the time of sign-up. MATTER may introduce or modify commitment periods for new Membership types at any time.

5.3 Non-Transferable

Memberships and packages are personal and may not be shared, assigned, or transferred to any other person unless MATTER expressly approves in writing. Breach of this section may result in termination without refund.

5.4 Non-Refundable

All Membership fees, package fees, and session credits are non-refundable unless required by law or otherwise stated by MATTER. This includes situations where you:

  • Do not use the Services;
  • Cancel early; and/or
  • Miss sessions.

5.5 Auto-Renewal

If your Membership is structured as a recurring plan, it may automatically renew unless cancelled before the next billing date. Auto-renewal terms will be disclosed at the time of purchase or activation.

You are responsible for managing your billing preferences. Charges made under auto-renewal are non-refundable once processed.

If an automatic renewal of your Membership is processed and the payment method on file is declined, rejected, or otherwise fails for any reason, you remain responsible for and agree to promptly pay the full amount due for the renewed term. MATTER reserves the right to recover any outstanding amounts using any lawful means, including reattempting payment through the same or an alternative payment method you provide.

5.6 Pausing Rules

MATTER does not offer suspensions or pauses of Memberships as a standard policy.

5.7 Payment Terms

You must keep your billing information current and ensure your account or card has sufficient funds when payment is due. If a charge is declined:

  • Access to Services may be suspended until payment is resolved; and/or
  • You may be liable for administrative or recovery fees.

5.8 Changes to Membership Terms

MATTER may update the structure, pricing, features, or terms of any Membership or package. Where possible, advance notice will be provided.

Your continued use after the changes take effect will constitute acceptance of the updated terms. If you do not agree, you may cancel in accordance with our policies.

5.9 Administrative Charges

MATTER reserves the right to impose administrative charges, late fees, or penalties in connection with:

  • Failed or reversed payments;
  • Payment recovery or collection efforts;
  • Reactivation of suspended accounts; and/or
  • Manual processing of Membership changes not completed via the designated platform.

Any such fees will be published in MATTER’s current fee schedule or disclosed to you at the time of the relevant event.

6. ENDING YOUR MEMBERSHIP

6.1 Member-Initiated Termination

You may request to terminate your Membership by following the process specified by MATTER. Termination will only take effect once:

  • You have completed any required forms or steps;
  • MATTER confirms the termination in writing or via your account; and
  • You have settled any outstanding balance or unpaid amount on your account.

If your Membership includes a minimum commitment period or auto-renewal cycle, termination may only take effect at the end of the applicable billing period, unless otherwise agreed.

No refund will be provided for any unused portion of your Membership.

6.2 Termination by MATTER

MATTER may suspend, restrict, or terminate your Membership or access to any Services at any time, with or without notice, and with or without cause, including but not limited to the following circumstances:

  • You breach these Terms, any house rules, booking terms, or any other policy or agreement issued by MATTER;
  • You fail to pay any Membership fees, cancellation fees, or other charges when due;
  • You provide false, incomplete, or misleading information during sign-up or use;
  • You engage in behaviour deemed unsafe, disruptive, unlawful, abusive, harassing, or inappropriate;
  • Your continued use of the Services poses a risk to your own health or safety, or the safety of others;
  • MATTER determines that your conduct, use, or presence is not aligned with the environment it seeks to maintain; and
  • MATTER discontinues your Membership type, access plan, or the underlying Services for business, operational, or legal reasons.

Termination may take effect immediately and is at MATTER’s sole and absolute discretion.

You will not be entitled to any refund, credit, or compensation for any suspension or termination under this Section.

6.3 Effect of Termination

If your Membership is terminated:

  • By you in accordance with section 6.1, your access will continue until the end of your current billing period or minimum commitment term, unless otherwise agreed by MATTER; and
  • By MATTER under section 6.2, your access may be revoked immediately upon notice, and any unused sessions, credits, or benefits may be forfeited without refund.

In all cases, you remain liable for any unpaid fees or charges up to the effective date of termination.

MATTER may deduct any outstanding amounts from funds held or future refunds, and you agree to pay any shortfall on demand.

6.4 Surviving Terms

Termination does not affect any rights or obligations that survive termination by their nature or as set out in these Terms. This includes, without limitation:

  • Payment obligations;
  • Indemnities;
  • Disclaimers;
  • Limitations of liability; and
  • Governing law and dispute resolution clauses.

6.5 Post-Termination Obligations

Termination of your Membership does not affect:

  • MATTER’s right to recover any outstanding payments, damages, or losses incurred before termination;
  • Any liability you may have for breach of these Terms while your Membership was active; and
  • MATTER’s right to deny future access to its premises or Services, including re-enrolment.

You must not attempt to access MATTER’s premises or Services after your Membership is terminated, unless expressly approved.

7. LIABILITY THAT MATTERS

7.1 Use at Your Own Risk

By entering MATTER’s premises or participating in any Services, you voluntarily assume all risks associated with doing so — including the risk of personal injury, illness, disability, property loss, or death.

You understand and accept that the Services may involve physical, environmental, or psychological stressors that carry inherent risks, including those that may not be foreseeable or fully disclosed in advance.

You agree that you are solely responsible for determining whether the Services are appropriate for you, and for seeking any medical clearance or advice needed prior to participation.

7.2 No Medical Advice or Duty of Care

Unless expressly stated otherwise, MATTER does not provide any medical advice, diagnosis, treatment, or clinical care. No information, session, consultation, or recommendation should be taken as medical advice or used as a substitute for consultation with a qualified healthcare provider.

You are solely responsible for seeking appropriate medical clearance prior to participating in any Service offered by MATTER.

7.3 Medical Practitioners Act Independently

If any medical services are made available on-site, these are provided solely by registered medical practitioners in their individual professional capacity.

This applies whether the practitioner is engaged by MATTER as an independent contractor or employed under MATTER’s corporate structure.

To the maximum extent permitted by law:

  • MATTER is not liable for any act, omission, error, or negligence by any medical practitioner; and
  • All medical services are subject to a separate practitioner-patient relationship, and MATTER disclaims all responsibility arising from or related to such services.

7.4 Waiver and Release of Liability

To the fullest extent permitted under applicable law, you release and hold harmless MATTER, its directors, employees, agents, affiliates, and contractors from any and all claims, demands, losses, liabilities, damages, or causes of action, known or unknown, arising out of or related to:

  • Your use of or presence on MATTER’s premises;
  • Your participation in any Services;
  • Any advice, guidance, or facilitation provided by MATTER;
  • Any equipment or materials used; and
  • Any injury, illness, allergic reaction, or other medical outcome sustained during or after your use.

This release applies even if the event arises from negligence or failure to supervise, unless caused by MATTER’s wilful misconduct or gross negligence.

7.5 Indemnity

You agree to indemnify and defend MATTER against all losses, claims, damages, and expenses (including legal fees) arising from:

  • Your breach of these Terms;
  • Your use or misuse of the Services;
  • Your violation of any law or third-party rights; and
  • Any claim brought by a medical practitioner, other client, or third party due to your actions.

This indemnity survives the termination of your Membership.

7.6 No Warranties

All Services are provided “as is” and “as available,” without any warranties or representations of any kind. MATTER makes no guarantee that any Service is suitable, effective, risk-free, or appropriate for your specific condition, goals, or preferences.

7.7 Personal Insurance

You are solely responsible for maintaining adequate personal insurance to cover any risks associated with your use of MATTER’s premises or Services. This includes, without limitation, coverage for personal injury, illness, medical treatment, disability, death, or loss of property.

MATTER does not provide insurance on your behalf and accepts no responsibility for any costs or losses you may incur in connection with your use of the Services.

7.8 Third Party Liability

MATTER is not liable for any loss, damage, injury, or other harm suffered by third parties who are on the premises with you or at your invitation, including guests, dependents, or other individuals accompanying you.

You are fully responsible for the conduct and safety of any person you bring onto the premises. MATTER also disclaims all responsibility for the actions or omissions of third-party service providers, vendors, or tenants operating within or near its facilities.

8. CONTENT & INTELLECTUAL PROPERTY THAT MATTERS

8.1 Ownership of Content

All content made available through MATTER’s premises, website, app, communications, or Services — including but not limited to text, imagery, audio, video, session content, branding, concepts, and proprietary methods — is owned by or registered to MATTER.

This includes the look, feel, structure, and user experience of MATTER’s digital platforms and physical environment.

8.2 Use of Content

You may access and view MATTER’s content solely for your personal, non-commercial use in connection with the Services.

You must not:

  • Copy, reproduce, adapt, publish, distribute, modify, or create derivative works from any MATTER content;
  • Use any content, trademarks, logos, or trade dress in a way that could confuse, mislead, or imply endorsement; and
  • Record, film, or photograph any MATTER sessions, space, or personnel for external use without prior written consent.

Any unauthorised use may result in suspension or termination of access, and MATTER reserves the right to take legal action where necessary.

8.3 Trademarks and Branding

Matter”, “Matterlife”, our logos, taglines, and other marks are either registered or unregistered trademarks of MATTER or its affiliates. You may not use these marks without our prior written permission.

Nothing in these Terms transfers or licenses any intellectual property rights to you, other than as expressly stated.

8.4 Platform and Software

All software, systems, and code used in or made available through MATTER’s website, app, or platforms remain the property of MATTER or its licensors. You agree not to access, reverse-engineer, scrape, or interfere with these systems, or use them for any purpose other than intended Service access.

9. GENERAL TERMS THAT MATTER

9.1 Privacy

Use of the Services is also governed by MATTER’s Privacy Policy, which is incorporated by reference into these Terms. By using the Services, you consent to the collection, use, and disclosure of your personal data as set out in that policy.

9.2 Third Parties

MATTER is not responsible for the acts, omissions, or services of any third parties, including co-located providers, contractors, vendors, or linked websites. Your interactions with third parties are entirely at your own risk.

9.3 Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent. MATTER may assign or transfer its rights at any time without notice.

9.4 Force Majeure

MATTER is not liable for any delay or failure to perform its obligations due to causes beyond its reasonable control. These include natural disasters, pandemic, law changes, government orders, equipment failure, and similar events.

9.5 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remainder will remain in full force and effect.

9.6 Waiver

No failure or delay in enforcing any provision of these Terms shall be considered a waiver. All waivers must be in writing to be valid.

9.7 Entire Agreement

These Terms (together with the Privacy Policy and any other referenced documents) form the entire agreement between you and MATTER relating to the Services, and supersede all prior understandings or agreements.

9.8 Governing Law and Jurisdiction

These Terms are governed by the laws of Singapore. You agree to submit to the exclusive jurisdiction of the courts of Singapore in connection with any dispute or claim relating to the Terms or your use of the Services.
